November 5, 2001Spain's Abengoa to acquire ethanol firm High Plains Spanish engineering and construction company Abengoa SA said on Thursday it has agreed to acquire ethanol producer High Plains Corp for about $92.5 million to boost its position in the gasoline additive market in Europe.
The Seville, Spain-based company said it and a wholly owned subsidiary would pay $5.63 per share for High Plains, a premium of about 31 percent based on High Plains' closing price of $4.29 on Thursday on Nasdaq.
The Abengoa unit would assume about $15 million in High Plains debt and would pay expenses of about $7.5 million. High Plains stockholders would get about $92.5 million, exclusive of expenses.
The statement from the firms said Wichita, Kansas-based High Plains is the only public company that is a ``pure play'' in ethanol, producing more than 85 million gallons of ethanol annually.
